Partijen worden aangeduid als “[de aannemer]” en “het Land”, tenzij hierna anders blijkt.

1 De procedure

1.1

Het Gerecht heeft kennis genomen van de volgende processtukken:

  1. verzoekschrift met producties d.d. 8 juli 2015,

  2. conclusie van antwoord,

  3. conclusie van repliek met producties,

  4. conclusie van dupliek met producties,

  5. akte uitlating producties,

  6. akte uitlating regeling van [de aannemer],

  7. brief van 20 mei 2016 met producties namens [de aannemer],

  8. brief van 12 december 2016 met producties namens het Land,

  9. akte eiswijziging van het Land,

  10. pleitnota namens [de aannemer],

  11. pleitnota namens het Land.

1.2.

Het pleidooi heeft uiteindelijk plaatsgevonden op 15 december 2016. De griffier heeft van het verhandelde aantekening gehouden.

1.3.

Hierna is vonnis bepaald.

2 Kern van het geschil

2.1.

Het Land heeft na een aanbestedingsprocedure [de aannemer] geselecteerd, zoals blijkt uit de brief van 15 mei 2009 van het Land aan [de aannemer]. Partijen zijn vervolgens in onderhandeling getreden met het doel wilsovereenstemming te bereiken over, kort gezegd, een overeenkomst tot de bouw en exploitatie van een afvalverwerkingsfabriek op Sint Maarten. Het was de bedoeling dat deze fabriek door de verwerking van het afval ook energie zou opwekken die aan het lokale energiebedrijf (GEBE) zou worden geleverd tegen betaling door GEBE aan een licentiehouder, een speciaal op te richten vennootschap, te weten Agrisoil, later vervangen door Sustainable Waste Services B.V., hierna: SWS. Op 19 december 2011 heeft het Land de onderhandelingen afgebroken door middel van zijn brief aan [de aannemer] van die datum. [de aannemer] stelt dat het afbreken van deze onderhandelingen niet was toegestaan zonder dat het Land de door haar gemaakte kosten zou vergoeden. Dat weigerde het Land. In deze procedure vordert [de aannemer] de door haar ondervonden schade als gevolg van het afbreken van de onderhandelingen door het Land.

3 De feiten

3.1.

Na een aanbestedingsprocedure heeft het Eilandgebied Sint Maarten Nederlandse Antillen (de rechtsvoorganger van het Land) bij brief van 15 mei 2009 aan [de aannemer] onder andere bericht dat haar voorstel voldoende informatie oplevert om de “negotiation phase” voort te zetten: “…we hereby invite you to enter into the negotiations with regard to the contract for the design finance, build, own, operate and transfer of a solid waste processing facility in Sint Maarten.”, door partijen (en nu ook door het Gerecht) ook wel aangeduid als: DFBO.

3.2.

Tussen de rechtsvoorganger van het Land en [de aannemer] komt op 20 mei 2009 een Statement of Indemnification (hierna: de SI) tot stand. Dat is een vereiste om de “negotiation phase” voort te zetten. Daarin wordt de rechtsvoorganger van het Land aangeduid als “The Employer” en [de aannemer] als “the Contractor”. In de SI komen onder andere de volgende bepalingen voor:

“(2) Parties shall, in mutual consultation, strive in accordance with the principles of good faith, towards the conclusion of the contract for the execution of the project by the Contractor. Parties agree that until such time as the contract has been negotiated and agreed, they shall have no obligations towards each other, except as otherwise determined in the Statement of Indemnity.

(3) In the event parties, notwithstanding good faith efforts to that effect, shall not be able to agree on the contract for the project within six months from the date hereof:

a. the Employer shall thereafter be free to act at his discretion, on the condition that he, should he wish to terminate the negotiations with the Contractor, inform the latter in writing, giving the reasons for the termination of the negotiations and at the same time releasing the Contractor unconditionally from any possible price binding offers or as the case may be, parts of offers made by the Contractor;

b. the Employer shall have no obligation whatsoever to compensate the Contractor for possible expenses incurred of damages sustained, and

c. the Contractor shall in no way obstruct the Employer in his efforts to come to an agreement with regard to the execution of the project by another party, nor shall he influence the content of the price offer(s) of another party nor shall he impede the execution of the project by another party.

(4) In the event the Contactor shall not be able to evidence to the Employer within six months from the date hereof that the Contractor has secured the capital needed in order to carry out the project in full (equity investment contributions, external financing of the investment, issuance of the required performance bond and/or bank guarantees), and the Employer for reason of such failure in good faith decides to terminate the negotiations or refuses to sign the contract with the Contractor, the cost and expenses incurred by the Employer with regard to the negotiations and development of the (draft) contract shall be compensated by the Contractor, up to a maximum of $ 250,000.

(5) The Employer guarantees confidentiality of the price offer of the Contractor in the event the negotiations do not result in a contract with the Contractor.”

3.3.

Bij brief van [de aannemer] van 9 november 2009 aan het Land wordt onder andere het volgende bericht:

“Please be aware that the deadline of receipt of the information was November 5th 2009, and that we have not received any part of the requested information, except a draft Letter of Comfort (…).

The absence of the required information:

  1. Seriously hampers the project schedule and deadlines;

  2. Seriously affects the Terms and Conditions of the senior debt funders, as risks are considered to be (too) high.

We therefore kindly but urgently request that you provide the information as soon as possible.

Finally, may we express our serious concerns about the feasibility of the project schedule and deadlines due to the above mentioned delay which is not attributable to [de aannemer].”

3.4.

Bij e-mail van het Land aan [de aannemer] d.d. 9 november 2009 (in reactie op een eerdere brief van [de aannemer] d.d. 22 oktober 2009) wordt onder andere het volgende bericht:

“(…)

First of all we would like to mention that according to all bid documents, [de aannemer]) is responsible to obtain the financing. Where possible and appropriate, Agrisoil and or the [rechtsvoorganger van het Land, GEA] are most willing to assist. However it can not be that Agrisoil/[rechtsvoorganger van het Land] has to take over certain responsibilities pertaining to these financing arrangements as a result of the requested additional information. We believe that obtaining the financing is the sole responsibility of [de aannemer]. (…)”

3.5.

Bij brief van 26 november 2009 van [de aannemer] aan het Land wordt onder andere het volgende bericht:

Extension Contract Negotiation Period

Considering the fruitful Contract Meetings of last week, and our mutual understanding to strive towards a just and fair conclusion of the contract, we shall have the contract package ready for signing by Januari 31, 2010.

We could however, agree to an extension of the contract signing date latest until March 31, 2010, as we are no longer able to confirm our offer after March 31, 2010 due to validity term constraints from sub-contractors and financers point of view.

Evidence Capital Needed Secured

In principal we have finalized the arrangements for securing the capital needed in order to carry out the project in full.

We therefore, kindly request to confirm that we have met our obligation to secure the necessary capital, and that clause 4 of the Statement of Indemnification (compensation clause) shall be annulled.”

3.6.

Bij brief van 8 december 2009 van [de aannemer] aan het Land wordt onder andere het volgende bericht:

“After discussing your response with our financial advisor, most of the required information is now provided for in the DBFMO agreement. The only issue pending is a Business Plan of Agrisoil describing the revenue generators and collection procedures, not excluding:

  1. Government budget for waste 2010-2030,

  2. Collection of Tipping fee C&D;

  3. Income from Energy;

  4. Involvement of GEBE, not excluding: (…)”

3.7.

Bij brief van 13 april 2010 van de rechtsvoorganger van het Land worden de termijnen uit de SI op verzoek van [de aannemer] verlengd voor bepaalde tijd. Datzelfde gebeurt bij brieven van 10 en 28 januari 2011 van (inmiddels) het Land (Ministerie van VROMI).

3.8.

Bij e-mail van [de heer A] (door de rechtsvoorganger van het Land aangewezen als voorzitter van het Steering Committee) aan [de aannemer] d.d. 16 mei 2010 wordt onder andere het volgende bericht:

- “ “Ik stel voor dat we morgenmiddag samen (…) het DBFMO contract nog een keer doornemen om de tekstuele aanpassingen sinds de vorige keer aan te passen. Vervolgens kun je het contract dan ineen schuiven. Zowel …. als ….. hebben daar nu behoefte aan om nog een keer het geheel eens goed op consistentie door te lezen. [de gedeputeerde] kunnen we dan ook de Engelse vertaling geven.

De laatste discussiepunten zijn volgens mij: (…).”

- er volgt een opsomming van zes punten.

3.9.

Bij e-mail van 3 juni 2010 van [de aannemer] (de heer B) aan [de heer A] wordt het volgende bericht:

“Laat ik even voorop stellen dat de meeste wijzigingen zijn veroorzaakt door jullie, door het veranderen van het betalingsmechanisme.

Ik krijg steeds meer de indruk dat het jou niet veel uitmaakt wanneer dit proces eindelijk tot een einde komt. Ik wil er nogmaals op wijzen dat de NIB [National Investment Bank N.V., GEA], indien er geen overeenkomst is op IC niveau per 21 juni, de rente percentages gaat verhogen. Ik hoef hier niet de gevolgen van uit te leggen hoop ik. Ten tweede als er 21 juni geen akkoord op IC niveau wordt bereikt, wanneer dan wel?

Ik bergijp er niks meer van.”

3.10.

Bij e-mail van [de heer A] aan [de aannemer] ([de heer B]) d.d. 1 september 2010 wordt onder andere het volgende bericht:

“Ga jij het contract nog bijwerken op basis van laatste commentaar ronde??

Zo ja wanneer kan ik de aangepaste versie tegemoet zien?? (..)”

3.11.

Bij e-mail van [de heer A] aan [de aannemer] ([de heer B]) d.d. 14 oktober 2010 wordt onder andere het volgende bericht:

“Bijgaand mijn opmerkingen t.a.v. het laatste concept DBFMO. Bekijk het even en laten we over overblijvende punten overleggen in laatste week oktober in NL. (…)”

3.12.

Bij e-mail van [de heer A] aan [de aannemer] en het Land d.d. 5 november 2010 wordt onder andere het volgende bericht:

“Hierbij de afspraken m.b.t. de openstaande discussiepunten en uitstaande acties. (…) We gaan dan proberen de laatste knopen door te hakken. (…).

De bedoeling is dat een op basis van de laatste afspraken aangepast DBFMO contract voor of uiterlijk p 11 november naar KEMA wordt verzonden zodat KEMA de aanpassingen in haar presentatie voor de minister kan verwerken. (…)”

3.13.

Bij e-mail van 10 november 2010 van [de heer A] aan [de aannemer] ([de heer B]) wordt onder andere het volgende bericht:

“Hierbij de aanpassingen voor contract en acties, zoals besproken met SWS en gisteren met ….. Een en ander is gemarkeerd weergegeven in eerdere documenten. Ik hoop dat je een en ander verwerkt in het DBFMO contract en morgen naar KEMA stuurt. (…) Ik denk dat we het meeste nu hebben getackled. Van belang is natuurlijk het idee van een 2nd opinion ten aanzien van de verzekerbaarheid en aansprakelijkheden. (…)”

3.14.

In een bericht d.d. 7 december 2010 in een digitale conferentie bericht de minister het volgende:

“(…) I have been diligently going over the work of Mr. [de heer A], KPMG and KEMA. I want to make a few issues very clear. Please do not confuse the acceptance of the above mentioned consultants as my approval or consent to go to parliament. This is a multi million $ project that will mean a great deal but I must be assured that it is in the best interest of my people and in line with contracts that have been negotiated before. Please do not get into any tantrum but that is the way it goes. I am getting the info surely but slowly as lots have been left out. Your investments thus far will come to fruition but now under my due diligence. So patience.”

3.15.

Bij e-mail van [de heer A] aan GEBE d.d. 10 januari 2011 wordt het volgende bericht:

“On December 3th 2010, I have send you the email below with regard to our meeting of November 30th 2010 with KEMA’s (…).

On the same date I send you the last draft of the PPA [Power Purchase Agreement, GEA], KEMA’s comments on the PPA as well as KEMA’s presentations (action points 1, 2 and 3).

Unfortunately I didn’t (yet) receive GEBE’s comments on the PPA (action point 4).

As you know the finalization of the PPA is now on the critical path of the project preparation phase.

Therefore I would like to propose a meeting for (…)

I request you hereby to send the comments of GEBE on the draft PPA asap!!”

3.16.

Bij e-mail van 7 maart 2011 van [de heer A] wordt onder andere het volgende aan [de aannemer] bericht:

“Geen idee wanneer en of we nog een reactie krijgen van GEBE.

Heb ….. [CEO van GEBE, GEA] nog een paar keer gemailed, maar geen reactie gekregen. (…)”

3.17.

Bij brief van 21 maart 2011 aan de Minister van VROMI (hierna: de Minister) bericht [de aannemer] (kort en zakelijk weergegeven) onder andere het volgende:

-

op 20 juni 2010 zijn de verlengde termijnen uit de SI tot een einde gekomen,

-

[de aannemer] en haar zakenpartner hebben bijna 3,9 miljoen US dollar in het project gestoken,

-

“Although we are near to conclusion of the DBFMO contract, it seems likely that from the Sint Maarten Government side it will not be possible to sign the DBFMO contract before March 31st 2011, due to the non-cooperation of GEBE on the approval of the final Money Flow and PPA and the ongoing financing studies. (…)”

-

[de aannemer] is nog steeds volledig gecommitteerd aan het project,

-

“However, having submitted our proposal almost 2.5 years ago and not having reached contract conclusion, raises some concerns regarding the currently anticipated timing of the project, subcontractors and suppliers commitment, inflation, financing, etcetera”,

-

[de aannemer] verzoekt om een bespreking met het Land.

3.18.

Bij e-mail van [de heer A] aan [de aannemer] ([de heer B]) d.d. 30 maart 2011 wordt onder andere het volgende bericht:

“Het kostte even wat tijd om de verschillende adviseurs naar de laatste aanpassingen in de DBFMO te laten kijken. Ik heb nu alle opmerkingen binnen en verwerkt in bijgevoegd document. (…)”

3.19.

Bij brief van 20 juli 2011 bericht de Minister onder andere het volgende aan [de aannemer]:

-

zijn conclusies betreffende een evaluatie die hij heeft gedaan van het project per 20 juli 2011,

-

“7. [de aannemer]’s role and responsibilities during construction of the plant have been reduced to that of a sub-contractor, which is not in the line with the bidding documents”,

-

“Based on our evaluation, we conclude that the risks related to the realization of the SWMPF [de afvalverwerkingsfabriek, GEA] with a substantial overcapacity of +/- 20% and all the other afore mentioned risks are not in line with the original proposal/winning bidding documents and are not acceptable for government. Furthermore, it cannot be stated that the agreement cannot be signed solely because of lack of agreement on the PPA [Power Purchase Agreement, GEA] with GEBE, nor that it is government’s (sole) responsibility to ensure GEBE cooperation, as your letter of March 21, 2011 seems to indicate”

-

“Considering the above, I propose to continue the negotiations for a DBFMO contract, under the following conditions:

a. Negotiations continue on the basis of the terms and conditions of the Statement of Indemnification, which remain in full force and effect,

b. Agreement with regard to the reduction of the net service fee for a cBOS installation with an annual capacity of maximum 70,000 ton and improved or extended separation of unburnable waste (glass, aluminum, steel),

c. A complete insurance package to be reviewed by an independent insurance specialist

d. No stabilization loan for first 3 years of operation

e. Acceptance of IED regulations

f. Agreement on availability reductions, less price for BOS waste processing and other remaining points of discussion (…)

g. Proof of positive operational results with newly installed boiler in Dumphries

h. Letter of intent form financial institution in accordance with stipulations in Statement of Indemnification

i. [de aannemer] to be the main contractor for all works to be executed.

Please let me know within 10 days from today if you are willing to do so.”

3.20.

Bij brief van 21 september 2011 reageert [de aannemer] inhoudelijk op de brief van de Minister van 21 september 2011, betwist zij de evaluatie door de Minister en stelt zij zich beschikbaar voor overleg omtrent de voortgang. Onder andere komen in deze brief de volgende passages voor:

“The Way forward

From your explanation on plant capacity we understand that the government is now, contrary to the RFP [het aanbestedingsdocument, GEA], looking for a system with a long term annual maximum capacity of the cBOS installation of 70.000 ton and a Construction and Demolition (C&D) installation with a long term annual maximum capacity of 50.000 ton, in combination with optimal sorting techniques for glass, steel and aluminum. The Government expects that such a system will possibly lead to considerable lower and operational costs.”

“We are of the opinion that the government’s introduction of new criteria requires a balanced and fair Statement of Indemnification taking into account the significant cost presently made by parties.”

3.21.

Bij brief van 19 december 2011 reageert de Minister als volgt:

(…)

We both agree that during an extensive period of time parties have negotiated in good faith to develop and agree on a draft DBFMO-contract. We regret however to conclude that we disagree on serveral main subjects and important aspects with regard to the draft DBFMO contract.

The main points of our apparent disagreement are:

-

Lower caloric value : the extra annual costs of +/- $ 1.3 million as a result of lower caloric value caused by lower annual burnable waste volume are for the account of government. This lower burnable waste volume was a result of KEMA’s waste character investigation and was acknowledged by the Contractor in November 2010. Besides reducing the investment and annual costs of the cBOS-installation this is an opportune reason to scale down the capacity of the cBOS installation.

-

Proven technology : when the cBOS with electricity production was evaluated as the most feasible solution bases on the proposals submitted in October 2008, it was assumed that the cBOS with electricity production would be a proven technology. It also was suggested that the cBOS installation in Dumphries, which is the only comparable installation with the one proposed for St. Maarten, would be operational in the first months of 2009. We have learned that this cBOS installation will commence electricity production with the waste gases from the second chambers in the beginning of 2012 (3 years later). First operational data from the electricity production of the cBOS installation can be expected not earlier that mid-2012.

Contractor’s business case : We have strong reasons to believe that the projected electricity production of 61 GWH per year is too optimistic. If real electricity production will be substantially lower than anticipated the Contractor will lose considerable income during the total contract period of 20 years. This will have an important impact on the feasibility of Contractor’s business case, resulting in considerable risk for in first instance the Contractor and in second instance for government. Without operational data from the Dumphries plant, Contractor cannot substantiate the projected electricity production.

Responsibility during construction : Optimizing the structure of the Joint Venture does not implicate that the main contractor [de aannemer] can reduce its possibilities during construction to the level of a subcontractor. Considering the fact that the proposed partners in the joint venture and the proposed main contractor during construction Dick and Doof, do not have experience as contract partners with the realization of similar projects, the limited role of [de aannemer] during construction is not acceptable.

Decision procedure government : It has been clear from the beginning that government (…) must approve the outcome of the negotiations resulting in draft contracts and laws. As explained in my letter of July 21st 2011, the outcome of the negotiations as included in the draft DBFMO contract with the indicated risks for government are not acceptable.

Furthermore, in the month of October 2011 we learned from media coverage that the supplier of the cBOS installation, W2E USA, and its daughter company in the UK, have encountered financial and managerial problems. Meanwhile it has become clear to us that W2E USA, has recently gone into liquidation.

Since W2E USA is the supplier and patent holder of the cBOS system we were very surprised and do not understand that you did not inform us in time of these financial problems, which started in 2010, nor the following liquidation.

The omission of not informing us does not qualify you a ‘good faith’ partner in the negotiations.

Considering this omission, the fact that you have not evidenced to date that you have secured the capital needed in order to carry out the project in full, and the fact that we cannot seem to reach agreement on all issues in the negotiations, we unfortunately must conclude that we cannot responsibly continue the negotiations for the DBFMO contract or enter into same. I, therefore, hereby terminate the negotiations for the realization of the project in accordance with the signed statement of indemnification. You are released unconditionally from any possible price binding offers made by you. We reserve our right in regards compensation as per the statement of indemnification.”

3.22.

Bij brief van 5 maart 2012 bericht [de aannemer] onder andere het volgende aan de Minister:

-

verbazing over het besluit de onderhandelingen te beëindigen,

-

weerlegging van de inhoudelijke argumenten van de Minister, waaronder: “The Dumfries installation is successfully operating today with power generation”,

-

“We are of the opinion that the failure to complete this project as scheduled, and the failure of steering this project to a successful conclusion, is mainly caused by non-compliance of the government of Sint Maarten, as regards to:

o Making financing of the project impossible by not signing a finalized DBFMO agreement after dragging negotiations for over 2,5 years (versus 2,5 months) by repeatedly changing decisions on agreed contract clauses, adjourn decisions on contract matters and consciously and purposely changing conditions. This despite numerous promises to conclude the contract. (…) The damages caused by delay of the Government are undeniable and remain to be fully measured.

o Making financing of the project impossible by not delivering on its commitments regarding the Power Purchase Agreement drafts. After 6 months of submission on the Power Purchase Agreement to the 100% government owned Entity G.E.B.E. N.V. no reaction or response was received on any content of the document or path forward. This agreement accounted for approximately fifty percent of the fees collected to service the project’s 20 year contract. Your person and the Steering Committee chairman exercised clearly witnessed, but unsuccessful attempts to arrange for the conclusion of this Agreement.

o Making financing of the project impossible by not delivering a conventional business plan for your collection scheme for the remainder fees through G.E.B.E.

o Delivering ZERO data formally as basis to conclude on a reasonable finance package or present source of annual service funds

We conclude that your decision to termination the contract negotiations for the DBFMO contract for the SWMPF is a unilateral decision which is clearly taken without considering the mutual consultation and principles of good faith.”

[de aannemer] and [haar partner] have already invested a tremendous amount of money in the last 3 years on waste monitoring studies, financial advice and loan structuring services, independent engineering studies, legal costs, plant visits, etcetera in their good faith efforts to reach a conclusion for the contract.”

- een uitnodiging voor overleg over een minnelijke schikking.

3.23.

Bij brief van 21 juni 2012 van [de aannemer] aan het Land wordt onder andere het volgende bericht:

“As we did not receive any response to our letter of March 5, 2012, we hereby provide you with an overview of our total pre-contract costs, which amount Naf. 5.768.836,=. We request to meet with you on short notice to discuss how to reach an amicable solution for fair compensation of our costs to date.”

3.24.

Op 7 augustus 2013 hebben partijen een deelschikking bereikt over een bedrag dat het Land aan [de aannemer] dient te betalen voor de rapporten en ontwerpen die zij aan het Land in het kader van de aanbestedingsprocedure ter beschikking heeft gesteld. Deze zijn door het Land gebruikt in een nieuwe aanbestedingsprocedure zonder dat [de aannemer] daar toestemming voor had gegeven. Het Land verplicht zich ter zake NAf 1.056.181,00, vermeerderd met 15% aan kosten en winst, voor 11 april 2014 aan [de aannemer] te betalen.

3.25.

Gaande de onderhandelingen heeft [de aannemer] de grond, waarop de fabriek zou moeten komen, bouwrijp gemaakt op verzoek van het Land.
